Hereby, "Central Asia Cement" JSC would like to inform all interested persons about conclusion of the following major transactions: 

1.Kazkommertsbank JSC will open a credit line in favour of Karcement JSC whereby Karcement JSC and Joined Persons undertake full obligations before Kazkommertsbank JSC in line with the attached Agreement.

2.The signing of Guarantee and Support Undertaking Agreement between European Bank for Reconstruction and Development, Karcement JSC, Central Asia Cement JSC, Central Asia Cement Holdings B.V., Steppe Cement Holdings B.V., Steppe Cement Sdn Bhd, Steppe Cement Ltd., and Аzmi Wan Hamzah, David Crichton-Watt, Javier del Ser Perez, upon the conclusion of the Amended and Restated Loan Agreement between Karcement JSC and European Bank for Reconstruction and Development dated 13 December 2005 as per the attached Agreement.

3.Conclusion of immovable and movable property pledge agreements between Central Asia cement JSC, Kazkommertsbank JSC and  European Bank for Reconstruction and Development in line with the attached agreements.

4.Conclusion of Financing Agreements and Project Agreements between European Bank for Reconstruction and Development, Karcement JSC, Central Asia Cement JSC, Central Asia Cement Holding B.V., Steppe Cement Holding B.V., Steppe Cement (M) Sdn Bhd, Steppe Cement Ltd., Аzmi Wan Hamzah, David Crichton-Watt, Javier del Ser Perez or other authorised parties, as major transactions and transactions with an interest as stipulated in the Loan Agreement between Karcement JSC and European Bank for Reconstruction and Development dated 13.December.2005.
